1. Agreement to Terms

By accessing or using any services provided by Jackal Group LLC ("Jackal Group," "we," "our"), including the Threat Intelligence Portal, website (jackalgrp.com), and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Services.

2. Description of Services

Jackal Group provides a Healthcare Threat Intelligence Portal, custom cybersecurity policy and procedure documentation, and vendor risk assessment tools. The portal aggregates, curates, and analyzes publicly available threat intelligence from multiple sources, delivering healthcare-focused threat analysis, vulnerability tracking, indicators of compromise, and executive-grade risk assessments.

The Services are designed to support cybersecurity decision-making. They are not a substitute for independent legal advice or regulatory compliance guidance specific to your organization.

3. Threat Intelligence Disclaimer

The threat intelligence provided through the Portal is derived from publicly available sources and is curated using automated analysis and editorial review. While we strive for accuracy and timeliness, you acknowledge and agree that:

• Intelligence is provided "as is" and "as available" without warranties of any kind, express or implied.
• Threat intelligence reflects assessed risk based on available reporting at the time of publication. It does not represent confirmed threats to your specific organization.
• The CISO Score, severity ratings, and risk assessments are analytical judgments, not guarantees of actual risk levels. They are intended to inform decisions, not replace independent risk analysis.
• Source intelligence may contain inaccuracies, incomplete information, or rapidly changing circumstances that affect the accuracy of our analysis.
• The absence of a threat or vulnerability in the Portal does not mean it does not exist. Our coverage is limited to the sources we monitor.
• Indicators of compromise (IOCs), CVEs, and other technical data should be independently verified before being used to make security decisions or take defensive actions.

Jackal Group is not liable for any actions taken or not taken based on the intelligence provided through the Portal.

4. Acceptable Use

You agree not to:

• Redistribute, resell, or sublicense Portal content to third parties without written permission from Jackal Group.
• Use automated tools to scrape, crawl, or systematically download Portal content.
• Share access credentials with unauthorized individuals.
• Use the Services for any unlawful purpose or in violation of applicable laws and regulations.
• Misrepresent Jackal Group intelligence as your own original analysis in commercial products or services.

5. Intellectual Property

All original analysis, scoring methodologies, risk assessments, executive summaries, and curated content produced by Jackal Group are the intellectual property of Jackal Group LLC. You are granted a limited, non-exclusive, non-transferable license to use Portal content for your organization's internal cybersecurity decision-making purposes only. You may reference or cite Jackal Group intelligence in internal reports and board presentations with appropriate attribution.

6. Third-Party Sources

The Portal aggregates and analyzes intelligence from third-party sources including but not limited to CISA, NVD, vendor security advisories, news organizations, and community threat feeds. Jackal Group does not own or control these sources and is not responsible for the accuracy, availability, or content of third-party information. Links to external sources are provided for reference and do not constitute endorsement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Jackal Group LLC, its founder, employees, and contractors shall not be liable for any:

• Direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services.
• Security incidents, data breaches, or operational disruptions that occur despite or because of information provided through the Portal.
• Decisions made or actions taken based on Portal intelligence.
• Errors, omissions, or delays in threat intelligence delivery.
• Loss of data, revenue, or business opportunity related to your use of the Services.

In no event shall Jackal Group's total liability exceed the amount paid by you for the Services during the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Jackal Group LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

9. Account Access and Security

You are responsible for maintaining the confidentiality of your Portal access credentials and for all activities that occur under your account. You agree to notify Jackal Group immediately of any unauthorized use of your credentials. Jackal Group reserves the right to suspend or terminate access at any time for any reason, including suspected unauthorized use.

10. Service Availability

We aim to provide continuous access to the Portal but do not guarantee uninterrupted availability. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

11. Modifications to Terms

Jackal Group reserves the right to modify these Terms at any time. Material changes will be communicated through the Portal or via email. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Georgia.
